Zusammenfassung
The Spanish Companies Act does not envisage the possibility of disconvening a previously convened general meeting, which gives rise to doubts as to whether it is possible and what its consequences would be. This RDGRN deals with this situation, by confirming the qualification of the Mercantile Registrar in which the registration of agreements adopted by a general meeting of a limited company was refused, which, even having been discontinued, was held with the assistance of a single partner.
